Welcome to BIS CX (hereinafter referred to as "Company", "we", "our", "us"). These Terms of Use ("Terms") govern your access to and use of our website at https://bis.cx, our advertising platform for Telegram bots, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms, you are not located in a country subject to sanctions, and your use complies with all applicable laws.
3.1 Account Creation. To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to update it as necessary.
3.2 Account Security. You are responsible for safeguarding your password and for all activities under your account. Notify us immediately at support@bis.cx of any unauthorized use.
3.3 Account Types. We offer two types of accounts: Advertiser Account (for creating and managing campaigns) and Publisher Account (for integrating bots and displaying ads).
4.1 Permitted Use. The Service allows Advertisers to create campaigns and Publishers to monetize their Telegram bots. You may use the Service only for lawful purposes and in accordance with these Terms.

4.3 Compliance with Telegram Rules. Publishers agree to comply with Telegram's Terms of Service for Bot Developers and Telegram's Ad Policies. Failure to do so may result in suspension of your account.
5.1 Fees. Some parts of the Service require payment. All fees are denominated in US Dollars (USD) and are displayed at the time of purchase.
5.2 Balance Top-Up. Balance top-up is currently done via bank transfer to the Individual Entrepreneur's bank account in Georgia. Bank details are published in the FAQ section. After the transfer, the balance is updated manually within 1-2 business days.
5.3 Telegram Stars. If you use the Service to sell digital goods or services within Telegram bots, you must comply with Telegram's requirements regarding Telegram Stars. Transactions for digital goods must use Telegram Stars, with Telegram's commission applied.
5.4 Refunds. Refunds are reviewed individually upon request to support@bis.cx. Funds spent on campaigns are non-refundable. Unused funds may be refunded to a bank account.
5.5 Fee Changes. We may change our fees upon 30 days' notice. Your continued use after the changes constitutes acceptance of the new fees.
6.1 Bot Integration. Publishers must integrate their Telegram bots with the Service using the provided API. You are responsible for maintaining the integration and ensuring that your bot functions properly.
6.2 Accurate Statistics. Publishers agree to submit accurate impression and click data to the Service. Any attempt to manipulate statistics or inflate metrics artificially is strictly prohibited and may result in immediate termination and forfeiture of earnings.
6.3 Content Standards. All advertisements displayed in your bot must comply with Telegram's Ad Policies and applicable laws.
7.1 Campaign Content. Advertisers are solely responsible for the content of their advertisements. Ads must comply with Telegram's Ad Policies and all applicable laws.
7.2 Budget and Spending. Advertisers must maintain sufficient balance in their accounts to cover campaign costs. We reserve the right to pause or stop campaigns if the balance is insufficient.
7.3 Targeting Restrictions. Advertisers may not target ads based on sensitive categories such as race, religion, sexual orientation, health conditions, or political beliefs without explicit consent from users where required by law.
8.1 Our IP. The Service, including its content, features, functionality, software, algorithms, and branding, is owned by BIS CX (Konstantin Kislov, an Individual Entrepreneur) and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
8.2 User Content. You retain ownership of any data, information, or material you submit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to host, store, use, reproduce, and display it to provide, maintain, and improve the Service. You represent that your User Content does not infringe any third-party rights.
8.3 Campaign Data. Campaign Data (aggregated and anonymized) may be used by us for analytics, reporting, and improving the Service. Individual Campaign Data is treated as confidential and is not shared with third parties except as necessary to provide the Service or as required by law.
We take data privacy seriously. Our collection and use of personal information are governed by our Privacy Policy. You acknowledge that the Service may collect and process technical data and campaign information as described in the Privacy Policy.
The Service may contain links to third-party websites or resources (e.g., Telegram). We are not responsible for the content or practices of those sites. Your use of such sites is at your own risk.
11.1 Termination by You. You may terminate your account at any time by contacting us at support@bis.cx.
11.2 Termination by Us. We may suspend or terminate your access to the Service at any time, with or without cause, upon notice if you violate these Terms, your use poses a security or legal risk, or as required by law.
11.3 Effect of Termination. Upon termination, your right to use the Service will immediately cease. All provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIS CX (KONSTANTIN KISLOV, AN INDIVIDUAL ENTREPRENEUR), ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless BIS CX (Konstantin Kislov, an Individual Entrepreneur) and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your violation of these Terms, your violation of any third-party rights, or your content or campaign materials.
15.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of laws principles.
15.2 Dispute Resolution. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved informally, it shall be submitted to the competent courts of Tbilisi, Georgia.
15.3 EU Users. If you are a consumer based in the European Union, you may also bring proceedings in your country of residence, and the mandatory consumer protection laws of your country of residence shall apply.
We may modify these Terms at any time. If we make material changes, we will notify you by email (to the address associated with your account) or through the Service at least 30 days before the changes take effect. Your continued use after the changes constitutes acceptance of the new Terms.
